A third year of "no opinion expressed," and an escape from negative equity — the rulebook being read is the delisting one 3度目の「意見の表明をしない」と、債務超過からの脱出 — 読まれているのは上場廃止基準
Nidec filed its annual report for the year ended March 2026 yesterday. The net loss was 564.6 billion yen, most of it impairments tied to accounting problems found at sites across the group.
Today PwC Japan wrote into that report that it declines to express an opinion. It could not obtain sufficient audit evidence. That is three years running.
The Tokyo Stock Exchange's delisting criteria do cover an audit report carrying that line. But the clause does not stop there. It continues: and the exchange finds it clear that market order could not be maintained unless the listing were withdrawn immediately. Nothing falls automatically. No deadline is written in. Nidec has also sat on the exchange's Security on Alert list since last autumn.
The message boards filling up fastest in Japan right now belong to Nidec and to Japan Display. One is a Prime-market motor giant. The other trades at 49 yen a share. The businesses have nothing in common. Only the question being posted is the same: can this company stay listed?
Japan Display has a deadline. The continued-listing standards require net assets to be positive. At the end of March its equity was negative by 7.4 billion yen, and once a company falls out, the remediation period is one year. Warrant exercises and asset sales brought net assets back to 3.6 billion yen by the end of June. The verdict comes at the end of next March. You can write it on a calendar.
Same phrase, two different shapes. One board counts down days. The other waits to hear when the exchange will speak, and what it will say.
Where you are, does staying listed come up among retail investors at all? And is that line drawn by a date, or by somebody's judgment?昨日、ニデックが2026年3月期の有価証券報告書を提出しました。最終赤字は5,646億円。グループ各拠点の会計処理の問題にともなう減損が大半です。
そして今日、監査法人のPwCジャパンが「意見の表明をしない」旨を記載しました。十分な監査証拠が得られないという理由です。3年続けて同じ扱いになりました。
東証の上場廃止基準には、監査報告書にこの記載がある場合、という項目があります。ただし条文はそこで終わりません。直ちに上場を廃止しなければ市場の秩序を維持することが困難であることが明らかである、と東証が認めるとき、と続きます。自動では落ちません。期限もありません。ニデックは昨秋から特別注意銘柄にも指定されたままです。
いま掲示板に書き込みが積み上がっているのは、このニデックと、ジャパンディスプレイです。片方はプライム市場のモーター大手、片方は株価49円の会社。共通点はありません。書かれている質問だけが同じです。この会社は上場を続けられるのか。
ジャパンディスプレイのほうには、期限があります。上場維持基準に純資産が正であること、という条件があります。3月末の時点で74億円の債務超過でした。外れると改善期間は1年です。新株予約権の行使と資産譲渡を進めて、6月末には純資産36億円まで戻しています。判定は来年3月末。カレンダーに書ける話です。
同じ上場廃止でも、片方に日付があり、片方にはありません。残り日数を数える掲示板と、東証がいつ何を言うかを待つ掲示板。空気が違います。
そちらでは、上場を続けられるかどうかが個人投資家のあいだで話題になりますか。その線引きは日付で決まりますか、それとも誰かの判断で決まりますか。
