There's a change that long-time investors in Korean dividend stocks might easily miss.
In the past, the rules were simple. If you were on the shareholder registry on the record date at the end of December, you'd receive dividends. The actual dividend amount was decided at the shareholders' meeting in March of the following year. This meant you had to buy first without knowing the dividend amount.
In 2023, the Financial Services Commission reversed this order. The new method involves confirming the dividend amount first, and then setting the record date. They even changed the legal interpretation of the Commercial Act to pave the way.
The issue lies in the execution rate. According to KDI data, only 23.8% of KOSPI-listed companies amended their articles of incorporation, and only about half of those actually implemented the new procedure. For KOSDAQ companies, 36.0% amended their articles, but only 9.5% actually implemented the new process.
Consequently, the market currently has a mix of both methods. Some companies set the dividend amount in February-March and the record date in March-April, while others still use the end-of-December record date. This difference exists even within the same industry.
The rule of buying in December for dividends now yields different answers depending on the stock. If you only heard the news about the system improvement and assumed everything had changed, you might miss the record date. Conversely, if you stick to the old method and buy in December, that company might have already shifted its record date to April.
There's only one way to confirm: check the company's official disclosures directly. You can look up the dividend record date for each stock on Save-ro, and when a company sets its record date, a disclosure is issued. It's also helpful to check if the articles of incorporation include a clause allowing the board of directors to set the dividend record date.
This overlaps with settlement cycles. To be on the shareholder registry by the record date, settlement must be complete. Domestic stock settlement takes 2 business days, including the transaction day. Buying on the record date itself is too late. 예전에는 규칙이 단순했습니다. 12월 말 배당기준일에 주주명부에 있으면 배당을 받습니다. 정작 배당이 얼마인지는 이듬해 3월 주주총회에서 정해졌습니다. 얼마 주는지 모르는 상태로 먼저 사야 하는 구조였습니다.
2023년에 금융위원회가 이 순서를 뒤집도록 했습니다. 배당액을 먼저 확정하고 그다음에 기준일을 잡는 방식입니다. 상법 유권해석까지 바꿔 길을 열었습니다.
문제는 실행률입니다. KDI 자료를 보면 코스피 상장사 중 정관을 바꾼 곳이 23.8%이고, 그중 실제로 새 절차를 돌린 곳은 절반 정도입니다. 코스닥은 정관 개정이 36.0%인데 실제 시행은 9.5%에 그칩니다.
그래서 지금 시장에는 두 방식이 섞여 있습니다. 어떤 회사는 2~3월에 배당액을 정하고 3~4월에 기준일을 잡고, 어떤 회사는 여전히 12월 말 기준일을 씁니다. 같은 업종 안에서도 갈립니다.
연말에 사면 배당이라는 규칙이 종목마다 다른 답을 내는 상태입니다. 제도가 개선됐다는 뉴스만 보고 다 바뀐 줄 알면 기준일을 놓치고, 예전 방식만 생각하고 12월에 들어갔는데 그 회사는 이미 4월로 옮겼을 수도 있습니다.
확인 방법은 하나뿐입니다. 그 회사 공시를 직접 보는 것입니다. 세이브로에서 종목별 배당 기준일을 조회할 수 있고, 회사가 기준일을 정하면 공시가 나옵니다. 정관에 이사회가 배당기준일을 정할 수 있다는 조항이 들어갔는지도 판단에 도움이 됩니다.
여기에 결제 주기가 겹칩니다. 기준일에 주주명부에 올라 있으려면 결제가 끝나 있어야 하고, 국내 주식 결제는 거래일 포함 2영업일입니다. 기준일 당일에 사면 늦습니다. 연휴가 낀 해에는 체감보다 며칠 더 앞당겨야 합니다.
