Stock prices often rise when a bonus issue is announced. This is due to the impression that shares are being given away for free, but what actually happens is different. A bonus issue is when a company transfers retained earnings to capital and allocates new shares to shareholders. No money comes in from outside the company, and the company's value does not change. Only the number of shares increases. Therefore, a rights ex-date occurs. If one new share is allocated for each existing share, the number of shares doubles, and the stock price is adjusted to approximately half. One share worth $100 becomes two shares worth $50 each, so your total assets remain the same. It's similar to how cutting a pizza into more slices doesn't change the overall size of the pizza. So why does the stock price rise? The reasons can be summarized into about three. When the stock price becomes lower, it becomes psychologically easier to buy. Although the actual amount is the same, when the unit price decreases, accessibility increases, and trading volume tends to rise. It's also read as a signal. A bonus issue requires retained earnings, so it's interpreted as the company having the capacity to do so. Finally, short-term funds flow in. A pattern is repeatedly observed where the stock surges immediately after the announcement and then returns to its original level after the ex-date. A rights issue is completely different. Since new shares are issued in exchange for money, the stake of existing shareholders is diluted. However, it cannot be automatically considered negative news. You need to look at the purpose of the fund usage stated in the disclosure. If it's for facility investment or acquisition funds, it can be seen as financing for growth. If it's for operating funds or debt repayment, it could be a sign of poor financial health. Another distinction is between shareholder allocation and third-party allocation. Shareholder allocation gives priority to existing shareholders, so their shareholding ratio can be maintained if they participate. Third-party allocation gives new shares to a specific investor, so existing shareholders' stakes are diluted proportionally. However, depending on who that third party is, it can sometimes be interpreted as a strategic alliance.
