Why the Same Chinese Company Has Three Stock Prices: A, H, and ADR Shares 同じ中国企業なのに三つの株価がある — A株・H株・ADRの違い
When researching Chinese companies, you might find three different stock prices for the same company: A-shares in Shanghai or Shenzhen, H-shares in Hong Kong, and ADRs in the US. They have different stock codes, currencies, and prices. Understanding this structure is crucial to know which one you're looking at when making an assessment.
A-shares are listed on China's domestic exchanges and traded in Chinese Yuan (CNY). It's a market primarily for domestic investors, with limited direct access for foreign individual investors. In practice, it's common to use the Stock Connect program via Hong Kong or substitute with Hong Kong-listed shares or ETFs.
H-shares are listed on the Hong Kong Stock Exchange and traded in Hong Kong Dollars (HKD). This is the most common route for foreign investors to access, and many Japanese brokerage foreign stock accounts handle these.
ADRs are depositary receipts traded on US markets. They are priced in US Dollars (USD) and can be bought directly if you have a US stock account. Since they move according to US trading hours, their prices are formed at night from a Japanese perspective.
What's important here is that the prices for the same company do not align.
This is due to capital controls. Because the Yuan cannot be freely exchanged, domestic and overseas investors cannot freely arbitrate the same stock. The market is segmented, so supply and demand are determined separately. Historically, A-shares tended to trade at a higher level than H-shares, but this difference can widen or narrow depending on the period.
Therefore, a situation where "A-shares are rising while H-shares are falling" is not abnormal but is structurally possible. Judging that the company's valuation has changed based on the price movement of only one of them would be a mistake.
Let's also clarify terminology. H-shares refer to companies incorporated in mainland China and listed in Hong Kong. In contrast, companies incorporated in Hong Kong or overseas with substantial operations in mainland China are called Red Chips or P-shares, and they are a different classification. Their inclusion criteria for indices and their regulatory treatment differ, so not all China-related stocks on the Hong Kong market are H-shares.
Three practical considerations:
First, dividends. Withholding tax treatment varies by route. For ADRs, management fees charged by the depositary institution may also be deducted separately. This is usually the reason why the net amount received differs from expectations.
Second, liquidity. For the same company, the trading volume between H-shares and ADRs can differ significantly. Choosing the less liquid one can result in losses due to the spread.
Third, delisting risk. In the past, ADRs have faced discussions about maintaining their listing due to US-China regulatory issues. They should be held with the understanding that it's a category where the regulatory environment can change.
The choice of route depends on three factors: account type, currency exchange rates, and taxation. The decision to simply compare absolute stock prices and buy the cheaper one is meaningless.中国企業を調べていると、同じ会社なのに株価が三つ出てくることがあります。上海や深センのA株、香港のH株、そして米国のADRです。銘柄コードも通貨も違い、価格も一致しません。まずこの構造を押さえないと、どれを見て判断しているのかが分からなくなります。
A株は中国本土の取引所に上場し、人民元建てで取引されます。国内投資家が中心の市場で、外国の個人投資家が直接買えるルートは限られています。実務上は香港経由の相互取引制度を使うか、香港上場株やETFで代替するのが一般的です。
H株は香港取引所に上場し、香港ドル建てです。外国人が最も普通にアクセスできるルートで、日本の証券会社の外国株口座からも扱われていることが多い区分です。
ADRは米国市場で取引される預託証券です。米ドル建てで、米国株の口座があればそのまま買えます。米国の取引時間に合わせて動くため、日本から見ると夜間に価格が形成されます。
ここで重要なのが、同じ会社でも価格が一致しないことです。
理由は資本規制です。人民元は自由に交換できないため、本土の投資家と海外の投資家が同じ銘柄を自由に裁定することができません。市場が分断されているので、需給が別々に決まります。歴史的にはA株のほうが香港より高い水準で取引される傾向が続いてきましたが、この差は時期によって拡大も縮小もします。
つまり「A株が上がっているのにH株が下がっている」という状況は異常ではなく、構造上ありうることです。どちらか一方の値動きだけを見て会社の評価が変わったと判断すると誤ります。
用語の整理もしておきます。H株は本土で登記された企業が香港に上場したものを指します。これに対し、香港や海外で登記され実質的な事業が中国本土にある企業はレッドチップやP株と呼ばれ、区分が異なります。指数の組み入れ基準や制度上の扱いが変わるため、香港市場の中国関連銘柄がすべてH株というわけではありません。
実務上の注意点を三つ。
一つ目は配当です。ルートによって源泉徴収の扱いが変わります。ADRの場合は預託機関の管理手数料が別途差し引かれることもあります。手取りが想定と違う原因はたいていここです。
二つ目は流動性です。同じ企業でもH株とADRで出来高が大きく異なることがあり、薄いほうを選ぶとスプレッドで損をします。
三つ目は上場廃止リスクです。ADRについては過去に米中間の監督をめぐる問題から上場維持が議論になった経緯があります。制度環境が変わりうる区分だという前提で持つべきです。
どのルートを選ぶかは、口座の種類、為替、税務の三つで決まります。株価の絶対値を比べて安いほうを買う、という判断は意味を持ちません。
